First question : in the Strategic Command phase the CinC pay one PC to change the order of one Division ; in case of success the division change immediatly own order and conseguently affect the next order of attivation of the divisions . Its right ?

Yes, you pay during the CiC phase, but the order has to be accepted:
5+ for bad leaders, 4+ for ordinary, 3+ for good.

If accepted, the division changes of order at the turn.
If failed, automatically at the next turn (without any other die roll).

Doesn't really matter, since they're simultaneous and "hidden" (the token is facedown).

Yes, it doesn't really matter but if you need an order, you start by the attacking player then the defending player.
